Terms of Service - PDF Highlight

Acceptance of Terms

By accessing or using PDF Highlight ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, please do not use our Service.

Age Requirement: You must be at least 18 years old to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Business Use: If you are using the Service for a business or organization, you agree that your organization is bound by these Terms.

Service Description

PDF Highlight is an AI-powered document analysis service that highlights important content in PDF files. The Service operates on a token-based usage system with the following tiers:

Free Tier

10,000 tokens (one-time allocation)
~50 average pages
Tokens do not expire or refresh
No credit card required

Lite Tier ($7/month)

100,000 tokens per month
~500 average pages per month
Monthly token refresh on billing cycle day

Pro Tier ($15/month)

500,000 tokens per month
~2,500 average pages per month
Monthly token refresh on billing cycle day
API access (coming soon)

Token Estimation: Approximately 200 tokens per page based on average text density (~150 words/page). Actual usage varies based on document complexity, text density, and formatting.

Account Registration

To use the Service, you must create an account and provide accurate information:

Accurate Information: You must provide truthful and complete registration information
Account Security: You are responsible for maintaining the security of your account credentials
Unauthorized Access: Notify us immediately via our contact form if you suspect unauthorized access
No Account Sharing: Accounts are for individual use only; sharing credentials is prohibited

Free Trial Terms

Each user is entitled to one free trial (10,000 tokens). We use multi-identifier tracking (email, OAuth IDs, device fingerprints) to prevent abuse. Attempting to claim multiple free trials by creating duplicate accounts may result in account suspension and forfeiture of tokens.

Token System & Usage

How Tokens Work

Token Definition: A token represents a unit of AI processing. Approximately 200 tokens per page based on average text density.
Estimation Variability: Actual token usage varies based on document complexity, text density, images, tables, and formatting. The 200 tokens/page is an estimate only.
Pre-flight Check:Before processing, we estimate token usage based on file size. If you have insufficient tokens, processing will be blocked, and you'll be prompted to upgrade.
Actual Deduction: After processing completes, we deduct the actual tokens used (not the estimate). You are charged for actual consumption.

Quota Limits and Enforcement

No Rollover: Unused tokens do not carry over to the next month for monthly subscription plans (Lite and Pro).

Free Tier: Free tier tokens do not expire but do not refresh monthly. Once used, you must upgrade to continue processing.

Quota Exceeded: If you exceed your token quota, you must upgrade to a higher tier to continue processing PDFs. Partial processing is not permitted.

Subscription Terms

Monthly Billing

Anniversary-Based Billing: Subscriptions are billed monthly on your billing cycle day (the day of the month you first subscribed), not calendar months.

Example: If you subscribe on January 15th, your next billing date will be February 15th, March 15th, etc. Token quotas reset on your billing cycle day.

Automatic Renewal: Subscriptions automatically renew unless cancelled. You will be charged on your billing cycle day each month.

Cancellation

Cancel Anytime: You may cancel your subscription anytime via Dashboard → Billing
Access Until Period Ends: Cancellation takes effect at the end of your current billing period. You retain access to your subscription tier until then.
No Refunds: Cancellations do not result in refunds for the current billing period (see Refund Policy below)
Reactivation: You can reactivate a cancelled subscription anytime before the period ends

Price Changes

We may change subscription prices with 30 days' notice for existing subscribers. New prices apply to renewals after the notice period.

You will be notified via email of any price changes. If you do not agree to the new price, you may cancel your subscription before the next billing cycle.

Downgrades

Effective Next Cycle: Plan downgrades (e.g., Pro to Lite) take effect at the next billing cycle, not immediately.

Token Adjustment: Your token quota will adjust to the new tier quota on the effective date. Unused tokens from the higher tier do not carry over.

Payment Terms

Merchant of Record: All payments are processed by Dodo Payments, our Merchant of Record. Dodo handles:

Credit card processing and PCI DSS compliance
Tax calculation and collection (compliant with local tax laws)
Invoice generation and delivery
Payment retry logic for failed transactions

Currency: Prices are listed in USD. Multi-currency support may be available depending on your location (handled by Dodo Payments).

Taxes: Applicable taxes (sales tax, VAT, GST) are calculated and collected by Dodo Payments at checkout. Tax amounts are shown transparently before payment.

Failed Payments:If a payment fails, Dodo Payments will automatically retry according to their retry policy. If payment fails after retries, your subscription may be suspended, and you'll lose access to your subscription tier.

You are responsible for maintaining valid payment information and ensuring sufficient funds for recurring charges.

Refund Policy

No refunds are provided for:

Partial month usage (e.g., cancelling mid-cycle)
Unused tokens at the end of a billing period
Change of mind or buyer's remorse
Dissatisfaction with AI highlighting results

Exceptions may be made for:

Service Outages: Extended outages exceeding 48 continuous hours (prorated refund)
Billing Errors: Duplicate charges or incorrect amounts (full refund of error amount)
Unauthorized Charges: Charges made without your authorization (notify us within 30 days)

To request a refund for eligible situations, submit a request via our contact form with your order details and reason.

Acceptable Use Policy

You agree NOT to use the Service to:

Illegal Content: Upload, process, or distribute illegal, harmful, or offensive content
Copyrighted Material: Upload copyrighted content without proper rights or licenses (unless you own the rights or have permission)
Malicious Use: Use the Service to distribute malware, viruses, or other harmful code
Automated Abuse: Use automated tools (bots, scrapers, scripts) to abuse the Service or circumvent usage limits
Privacy Violations:Upload documents containing others' private information without consent
Reverse Engineering: Attempt to reverse engineer, decompile, or extract our AI models or algorithms
Quota Circumvention: Attempt to circumvent token quotas, billing systems, or trial abuse prevention

File Limitations

Maximum File Size: 10MB per PDF
File Format: PDF only (no Word docs, images, or other formats)
Password Protection: Password-protected or encrypted PDFs are not supported

Consequences of Violations:

Account suspension or termination (with or without notice)
Forfeiture of remaining tokens and subscription time
Legal action for severe violations (copyright infringement, illegal content)
Reporting to law enforcement if required by law

Intellectual Property

Your Content

You Retain Ownership: You retain all ownership rights to PDFs you upload to the Service.

License to Process: By uploading a PDF, you grant us a limited, temporary license to:

Store the file in Cloudflare R2
Process it with our AI models to generate highlights
Create and deliver a highlighted version to you
Store both versions for 5 years for your access (unless you delete your account)

We delete PDFs from our processing backend immediately after highlighting. Uploaded and highlighted PDFs are stored in Cloudflare R2 for your long-term access.

Our Service & Technology

We Own: All rights to the Service, AI models, highlighting technology, algorithms, branding, and infrastructure.

Trademarks:"PDF Highlight," our logo, and branding are our trademarks. You may not use them without permission.

Restrictions: You may not copy, modify, reverse engineer, or create derivative works of the Service or our technology.

Highlighted PDF Ownership

You Own the Output: The highlighted PDFs generated by our Service belong to you. You may use, distribute, or modify them as you see fit.

However, you may not claim that you created the highlighting technology or present our Service as your own.

Data Retention & Deletion

Retention Period: PDF files (uploaded and highlighted) are stored for 5 years from upload date.

Usage Records: Token usage, processing history, and billing records are stored for 5 years for audit trail and dispute resolution.

Account Data: Account information (email, subscription details, metadata) is stored until you request deletion.

Account Deletion Process

You may delete your account anytime via Dashboard → Settings → Delete Account.

What gets deleted:

All uploaded and highlighted PDFs from Cloudflare R2
All usage records and metadata from our database
Account information from Clerk (authentication provider)

What persists:

Hashed trial abuse prevention records (not personally identifiable)
Billing records retained by Dodo Payments for legal compliance (7 years)

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

We disclaim all warranties, express or implied, including but not limited to:

Uptime and Availability: No guarantee of 100% uptime or uninterrupted service
Accuracy of Highlights: AI highlighting may not be perfect. We do not guarantee that all important content will be highlighted or that highlights are error-free.
Fitness for Purpose: The Service may not meet your specific needs or expectations
Data Loss: We are not liable for lost or corrupted files (though we implement strong safeguards)
Third-Party Services: We are not responsible for issues with third-party services (Clerk, Cloudflare R2, Dodo Payments)

Use the Service at your own risk. Always maintain backups of important documents.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Liability Cap: Our total liability is limited to the amount you paid in the past 12 months (or $100, whichever is greater)
No Consequential Damages: We are not liable for indirect, incidental, consequential, punitive, or special damages
No Liability for Decisions: We are not liable for decisions made based on AI-generated highlights
Business Losses: We are not liable for lost profits, revenue, data, or business opportunities

Some jurisdictions do not allow liability limitations, so these may not apply to you. You may have additional rights under local law.

Termination

Termination by You

Cancel Subscription: Cancel anytime (access until period ends)
Delete Account: Delete your account anytime (immediate effect, all data deleted)

Termination by Us

We may suspend or terminate your account if you:

Violate these Terms or our Acceptable Use Policy
Engage in fraudulent activity or trial abuse
Fail to pay after grace period
Use the Service in a way that harms others or our infrastructure

We will provide notice when reasonably possible, but we reserve the right to terminate immediately for severe violations.

Effect of Termination

Access to the Service ends immediately (or at period end for subscription cancellations)
Data retention follows our Privacy Policy (5-year retention for files, unless you delete your account)
No refunds for remaining subscription time
You may re-subscribe or create a new account unless banned for violations

Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

Venue: Any legal disputes must be brought in the state or federal courts located in San Francisco, California. You consent to personal jurisdiction in these courts.

Informal Resolution: Before filing a legal claim, please contact us via our contact form to resolve the issue informally. Most disputes can be resolved quickly through communication.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices.

Notification of Material Changes: We will notify you via email of any material changes to these Terms. Continued use of the Service after notification constitutes acceptance of the updated Terms.

Non-Material Changes:For minor updates (typo fixes, clarifications), we will update the "Last Updated" date at the top of this page.

If you do not agree to updated Terms, you may cancel your subscription or delete your account before the effective date.

Miscellaneous

Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PDF Highlight regarding the Service. They supersede any prior agreements or communications.

No Waiver

Failure to enforce any provision does not waive our right to enforce it later. All rights are expressly reserved.

Assignment

You may not assign these Terms or your account to another party without our written consent.

We may assign these Terms (e.g., in case of merger or acquisition) with notice to you.
